Terms of Service

Operator: Mumbai Property Exchange (MahaRERA Reg: A51800043517), represented by Sandeep Sadh ("Company", "We", "Us", "Platform").

The Acceptable Use Policy and the Refund & Cancellation Policy are incorporated into these Terms by reference and form part of them.

1. Acceptance of Terms

By registering, accessing, or using any service across PROPi.IN, TheRealConnect.in, or TheRealConnect.cloud (collectively, the "Platform"), you ("User", "You", "Broker", "Channel Partner", "Builder") agree to be bound by these Terms. If you do not agree, you must immediately cease all use.

1A. Acceptance

You accept these Terms by checking the acceptance box at registration and again at first payment. The Company maintains records of each acceptance (document version, timestamp, IP address, account). Continued use after notified amendments, plus re-acceptance where required, constitutes acceptance of the amended Terms.

2. Description of Service

The Platform is a technology-enabled marketplace and CRM that provides:

  • PROPi.IN: A B2B network for real estate agents/brokers to list properties, post buyer requirements, discover matching inventory, and connect with other agents.
  • TheRealConnect.in / .cloud: A SaaS platform enabling real estate builders and developers to discover, engage, and manage channel partners through AI-powered matching, WhatsApp campaigns, 1-on-1 messaging, and pipeline tracking.

2A. Nature of the Service

TheRealConnect is an information dissemination and outreach facilitation platform. The Company compiles, researches, and ranks channel-partner information and provides tools for You to communicate with channel partners via the WhatsApp Business API and email. The Company is not a real estate agent or brokerage acting on Your behalf, does not introduce or recommend specific channel partners for specific transactions, and does not guarantee leads, responses, meetings, transactions, or the accuracy of third-party information. Rankings (P1/P2/P3) reflect the Company's proprietary research methodology and are informational only.

3. Account Registration & Identity

  • You must provide accurate, complete, and current registration information including your legal name, valid mobile number, email, RERA registration number (if applicable), PAN, GST, and company name.
  • Each account is personal and non-transferable. You are solely responsible for all activity under your credentials.
  • We reserve the right to verify your identity and may suspend or terminate accounts that provide false, misleading, or incomplete information.
  • You must be a bona fide real estate professional (broker, agent, developer, or authorized sales representative) to use the Platform.

4. License to User Content & Personal Data

4.1 License to User Content

You grant the Company a non-exclusive, royalty-free, worldwide license to host, reproduce, adapt, display, and distribute content You submit (listings, project information, campaign content) solely to operate, provide, market, and improve the Platform, including display to other registered users through the Platform's presentation system. This license terminates when the content is deleted or Your account is closed, except for (a) copies in routine backups, (b) records retained for legal/billing compliance, and (c) aggregated or de-identified data derived from Your content, which the Company may use indefinitely, including to improve its matching algorithms.

4.2 Personal data

Personal data is handled per the Privacy Policy. The Company licenses and distributes data within the Platform; it does not sell personal data to third parties outside the Platform. Nothing in these Terms overrides the Privacy Policy in respect of personal data.

4A. Platform Data

Channel-partner data on the Platform is compiled from the Company's proprietary research and data layer, including publicly available regulatory records. It is licensed to You for Your internal business outreach within the Platform only. You shall not scrape, crawl, bulk-export, copy, resell, sublicense, publish, or use Platform data to build or enrich any external database or service. Revealed contact details are licensed for Your internal use only and remain the Company's compiled data. Breach of this Section is a material breach permitting immediate suspension and forfeiture under Section 13.

5. Token Economy

5.1 Token Usage (PROPi.IN)

  • Connecting with another agent via WhatsApp: 5 tokens
  • Property listing refresh: 1 token (base)
  • Requirement listing refresh: 1 token (base)

5.2 Token Usage (TheRealConnect)

  • Revealing a P1 CP's contact: 3 tokens
  • Revealing a P2 CP's contact: 2 tokens
  • Revealing a P3 CP's contact: 1 token
  • Each delivered WhatsApp message: 1.5 tokens
  • Chat re-engagement message: 2 tokens

The current rate card is published on the Pricing page (see Section 5.7).

5.3 Token Purchases & Non-Refundability

Tokens are purchased via Razorpay in Indian Rupees (INR), subject to applicable GST (18%). All token purchases are final and non-refundable, except as expressly provided in the Refund & Cancellation Policy (duplicate payments, failed captures, non-provisioning, statutory requirements). Tokens are non-transferable between accounts and have no cash value.

5.4 Token Expiry

Unused tokens do not expire but are forfeited upon termination for cause per Section 13.

5.5 Advance payment & activation order

Accounts are activated in the following order: (i) registration and acceptance of these Terms; (ii) WhatsApp Business account setup; (iii) receipt of advance payment; (iv) test-message enablement; (v) campaign enablement. No messages — including test messages — are sent before payment is received. The Company may suspend sending if Your wallet balance is insufficient.

5.6 Billed on delivery

A message token is consumed only when the WhatsApp Business API confirms delivery of the message. Failed or undelivered messages are not billed.

5.7 Rate card

Current token pricing and ₹/token rates are published on the Pricing page and within the Platform, and may be revised prospectively with 15 days' notice. Tokens already purchased retain their token-count value.

6. Listing Freshness & Stale Data Policy

  • Properties and requirements not refreshed within 15 days will be marked "Inactive";
  • Each refresh consumes tokens as specified in Section 5;
  • The Company bears no responsibility for stale listings.

7. WhatsApp Integration

The Platform operates an automated WhatsApp ingestion engine. Builders must comply with Meta's WhatsApp Business API policies and the Acceptable Use Policy. Spam and misleading content are prohibited.

7A. Recipient opt-out

Channel partners may opt out of communications at any time (STOP/UNSUBSCRIBE reply or the opt-out page). Opted-out numbers are suppressed platform-wide across all customer accounts. You shall not attempt to contact suppressed numbers via or using data from the Platform. Tokens are not charged for messages blocked by suppression.

8. RERA Disclaimer

We do not guarantee the accuracy of any RERA information displayed. Users must independently verify compliance.

9. No Guarantee of Business Outcomes

The Platform does not guarantee any leads, conversions, response rates, or the accuracy of contact information revealed through tokens.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any and all claims arising from your use of the Platform.

11. Limitation of Liability

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
  • Total aggregate liability shall not exceed the amount paid by you in the preceding 3 months, or ₹10,000, whichever is higher;
  • We are not liable for lost profits, lost business, or lost data.

12. Intellectual Property

The Platform and all its components are the exclusive intellectual property of the Company.

13. Termination

13.1 Termination for cause

We may suspend or terminate your account immediately and without prior notice for material breach of these Terms, the Acceptable Use Policy, or Meta's WhatsApp policies, including data misuse under Section 4A, payment-gating circumvention, or chargeback abuse. On termination for cause, unused tokens are forfeited.

13.2 Termination for convenience

We may terminate your account for convenience with 30 days' written notice. During the notice period you may continue to use the Platform and consume your tokens; any unused purchased tokens remaining at the end of the notice period will be refunded pro-rata to the original payment instrument.

13.3 Effect of termination

The content license under Section 4.1 ends per its terms; aggregated/de-identified data and compliance records are retained per Section 4.1 and the Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration before a sole arbitrator, with seat and venue in Mumbai, conducted in English under the Arbitration and Conciliation Act, 1996 (as amended). Either party may seek injunctive relief from a court of competent jurisdiction in Mumbai in respect of misuse of Platform data (Section 4A) or intellectual property, without first resorting to arbitration.

15. Notices

Notices to You are validly given by email to the email address registered on Your account and are deemed served on transmission. Notices to the Company should be sent to admin@therealconnect.in.

16. Assignment

The Company may assign these Terms to an affiliate or to a successor in interest (including in a merger, reorganisation, or sale of assets). You may not assign or transfer Your account or these Terms without the Company's prior written consent.

17. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be enforced to the maximum extent permissible. Failure to enforce any provision is not a waiver of the right to enforce it later.

18. Entire Agreement & Amendment

These Terms, together with the Privacy Policy, the Refund & Cancellation Policy, and the Acceptable Use Policy, constitute the entire agreement between You and the Company regarding the Platform. We may amend these Terms with 15 days' notice (posted on this page and/or emailed); amendments take effect on the stated effective date, with re-acceptance collected where required per Section 1A.
